ProShares Trust II is a statutory trust. Co. is organized into separate series (each, a Fund and collectively, the Funds). Each of the Funds generally invests in Financial Instruments (for example, instruments whose value is derived from the value of an underlying asset, rate or index), including futures contracts, swap agreements, forward contracts and other instruments as a substitute for investing directly in commodities, currencies, or spot volatility products in order to gain exposure to its applicable underlying commodity futures index, commodity, currency exchange rate or equity volatility index.
